Kidzhood — Terms and Conditions

Important. These Terms are a working draft prepared by the product team. They are not legal advice and must be reviewed by a qualified attorney licensed in your jurisdiction before they are published, referenced from signup flows, or otherwise held out to users as binding. Company should also adopt a separate Privacy Policy and, if applicable, a Child Directed / Minors Policy addressing COPPA and comparable legislation.
1. Introduction
These Terms and Conditions (the "Terms") form a binding agreement between The NextWay AI Inc ("Company," "we," "our," or "us") and you ("you," the "User") governing your access to and use of the Kidzhood mobile application, related websites, and any associated services (collectively, the "Service" or "Kidzhood").
By creating an account, tapping "I agree," or otherwise using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms apply to two user categories:
- Parents / Guardians — individuals who browse activities, events, and camps for children in their care ("Parent Users").
- Businesses — organizations or individuals that list, promote, or manage activity, event, or camp information on the Service, or use Company tools to reach Parent Users ("Business Users").
Additional terms apply to each category, as set out below.
2. Definitions
- "Content" means any text, image, review, listing, description, rating, comment, or other material made available through the Service.
- "Listing" means any activity, event, camp, venue, program, business, or similar entry displayed in the Service.
- "User Content" means Content submitted or made available by a User (including Business Users) through the Service.
- "Third-Party Content" means Content sourced from third parties, including publicly available data, partner feeds, search providers, or AI-generated summaries.
3. Eligibility
- You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account.
- The Service is not directed to children. Parent Users use the Service on behalf of the children in their care; children are not themselves permitted to create Kidzhood accounts.
- If you are accepting these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity.
- You may not use the Service if you are prohibited from doing so under applicable law.
4. Account registration
- You agree to provide accurate, current, and complete information during signup and to keep it up to date.
- You are responsible for safeguarding your password and for all activity under your account.
- You must notify us immediately at admin@booktripx.com if you suspect unauthorized use of your account.
- We may suspend or terminate accounts at our discretion, including for suspected fraud, abuse, or violation of these Terms.
5. Parent User terms
Parent Users may use the Service to:
- Browse activities, events, and camps curated or aggregated from third parties;
- Save favorites, build "Plan My Day" itineraries, and receive push notifications;
- Submit limited personal information (name, email, postal code, children's ages) necessary to personalize the experience.
Parent Users acknowledge that:
- Listings are provided for informational purposes only and are largely compiled from public sources, partner feeds, and AI-assisted research. Company does not conduct background checks on operators and does not independently verify safety, supervision, insurance, pricing, availability, or suitability of any Listing.
- Any decision to enroll, attend, book, pay for, or transport a child to any activity, event, or camp is made solely by the Parent User.
- Parents are responsible for all due diligence before enrolling a child, including contacting the operator, reviewing the operator's own terms and safety policies, and confirming logistics.
6. Business User terms
Business Users may use the Service to:
- Claim, edit, or submit Listings related to their own programs or venues;
- Access Business-specific dashboards, analytics, and promotional tools that Company may offer from time to time;
- Purchase promoted placements or subscription tiers (where offered).
Business Users represent and warrant that:
- All Listing information they provide is accurate, complete, current, and lawful;
- They hold all necessary licenses, permits, insurance, qualifications, background checks, and parental consents required to operate their programs;
- They will comply with all applicable laws, including child-safety, advertising, consumer-protection, tax, accessibility, and anti-discrimination laws;
- Any images, logos, marks, or other Content they upload do not infringe any third-party right and that they have secured all model / talent releases required for photos that include minors;
- They will not misrepresent their identity, credentials, pricing, or affiliation with Company.
Business Users grant Company a worldwide, royalty-free, sublicensable license to display, reproduce, adapt (including to generate summaries and translated variants), and distribute their Listing Content within the Service and in Company marketing materials.
Company may, at its sole discretion, reject, modify, merge, reclassify, retire, or remove any Listing at any time, with or without notice.
7. User Content
By submitting User Content (including reviews, ratings, comments, photos, Listing data, or feedback) you grant Company a perpetual, irrevocable, worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works from, distribute, publicly display, and otherwise use the User Content in connection with the Service and Company's business.
You represent that you own or have all necessary rights in your User Content and that it does not violate applicable law or any third-party right.
8. AI-assisted Content
Portions of the Service — including Listing descriptions, images, category tags, and "Plan My Day" itineraries — may be generated, enriched, or summarized using automated systems, machine learning models, and third-party search / grounding providers. Such Content may be incomplete, inaccurate, out of date, or otherwise unreliable. Users should treat AI-assisted Content as a starting point and verify material facts (pricing, ages, schedules, locations, safety) directly with the operator before acting on it.
9. Acceptable use
You agree not to:
- Use the Service for any unlawful, fraudulent, harmful, harassing, or deceptive purpose;
- Upload or transmit any malware, spyware, or other harmful code;
- Scrape, crawl, or bulk-download Content without our prior written consent;
- Reverse engineer, decompile, or attempt to extract the source code of the Service except where permitted by applicable law;
- Circumvent rate limits, access controls, authentication, or payment mechanisms;
- Post sexually explicit, violent, hateful, discriminatory, defamatory, or otherwise objectionable content, or content that endangers minors;
- Impersonate another person or business, or misrepresent your affiliation;
- Use the Service to solicit personal information from children or to contact minors outside of lawful parent-mediated channels;
- Interfere with the proper operation of the Service or with any other User's use of the Service.
Company may investigate and take any action it deems appropriate, including referral to law enforcement, in response to suspected violations.
10. Third-party Listings, bookings, and payments
- Listings reference programs, events, camps, venues, and organizations operated by independent third parties. Company is not an agent, partner, joint venturer, employer, or representative of any operator, and operators are not agents of Company.
- When you book, register, purchase tickets, enroll, or otherwise transact with an operator, you do so directly with the operator under the operator's own terms, refund policy, and liability provisions. Company is not a party to that transaction.
- Where Company facilitates a payment on behalf of an operator (for example, through a third-party payment processor such as Stripe), Company acts only as a technical intermediary. All refund, chargeback, cancellation, and tax issues are between you and the operator, and are governed by the operator's policies and the payment processor's terms.
- Links to third-party websites are provided for convenience only; Company does not endorse and is not responsible for the content, accuracy, or practices of any linked site.
11. Child safety disclaimer
Company does not supervise children, does not operate any program, and does not verify the qualifications, background, insurance, or safety practices of any operator listed on the Service. Parent Users are solely responsible for the safety, supervision, and well-being of the children in their care at all times.
12. Intellectual property
- The Service, including all software, design, text, graphics, logos, trademarks, and compilations (other than User Content), is owned by or licensed to Company and is protected by intellectual-property laws.
- Subject to these Terms, Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
- "Kidzhood" and related marks, logos, and designs are trademarks of Company. You may not use them without our prior written consent.
13. Privacy
Your use of the Service is also governed by our Privacy Policy [link to be inserted], which explains how we collect, use, and disclose information. By using the Service you consent to the data practices described there.
14. Disclaimers — "AS IS"
THE SERVICE, INCLUDING ALL CONTENT AND LISTINGS, IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, SECURITY, AND QUIET ENJOYMENT.
Company makes no representation or warranty that:
- The Service will be uninterrupted, error-free, secure, or free of harmful components;
- Listings are accurate, current, complete, safe, lawful, or suitable for any child or purpose;
- Any operator will honor its own terms, pricing, schedules, or refund / cancellation policies;
- Results obtained from use of the Service will meet your requirements.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent such warranties cannot be disclaimed, Company's liability for breach of those warranties is limited to the fullest extent permitted by law.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
IN NO EVENT WILL COMPANY, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
COMPANY IS NOT RESPONSIBLE OR LIABLE FOR:
- INJURY, ILLNESS, DEATH, EMOTIONAL DISTRESS, OR PROPERTY DAMAGE SUFFERED BY YOU OR ANY CHILD IN YOUR CARE IN CONNECTION WITH ANY ACTIVITY, EVENT, CAMP, VENUE, OR OPERATOR LISTED ON THE SERVICE;
- THE ACTS, OMISSIONS, NEGLIGENCE, MISCONDUCT, OR FAILURE TO DELIVER OF ANY OPERATOR OR THIRD PARTY;
- INACCURATE, OUTDATED, OR MISSING INFORMATION IN A LISTING;
- UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR CONTENT OR ACCOUNT;
- DECISIONS MADE BY YOU OR ON YOUR BEHALF IN RELIANCE ON THE SERVICE.
AGGREGATE LIABILITY CAP. COMPANY'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) CAD $100 OR (B) THE AMOUNTS YOU ACTUALLY PAID TO COMPANY FOR THE SERVICE IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
ESSENTIAL BASIS. YOU AGREE THAT THE LIMITATIONS IN THIS SECTION ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND COMPANY AND APPLY EVEN IF A LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, Company's liability is limited to the greatest extent permitted by law.
16. Indemnification
You agree to defend, indemnify, and hold harmless Company, its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service;
- Your breach of these Terms or any applicable law;
- Your User Content or Listings;
- Your interactions or transactions with any other User, operator, or third party; and
- For Business Users, any injury, claim, or loss arising from a program, venue, or service you offer or operate, whether or not that program was discovered through the Service.
Company reserves the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense.
17. Termination
- You may stop using the Service and delete your account at any time from within the app or by contacting admin@booktripx.com.
- Company may suspend or terminate your access to the Service, in whole or in part, at any time and for any reason, with or without notice.
- Sections that by their nature should survive termination — including Sections 7 (User Content license), 12 (IP), 14 (Disclaimers), 15 (Limitation of Liability), 16 (Indemnification), 18 (Governing Law), and any accrued payment obligations — survive termination.
18. Governing law and dispute resolution
- These Terms are governed by the laws of the Province of British Columbia, Canada and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
- You and Company agree to submit to the exclusive jurisdiction of the courts located in Vancouver, British Columbia for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
- Class-action waiver. To the fullest extent permitted by law, you agree that any dispute will be brought individually and not as a plaintiff or class member in any purported class or representative proceeding.

19. Changes to these Terms
Company may modify these Terms from time to time. Material changes will be communicated through the Service or by email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
20. Miscellaneous
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms you agree to, constitute the entire agreement between you and Company regarding the Service.
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Failure by Company to enforce any right or provision of these Terms is not a waiver of that right or provision.
- Assignment. You may not assign these Terms without Company's prior written consent. Company may assign these Terms without restriction.
- Force majeure. Company is not liable for any failure or delay due to events outside its reasonable control, including natural disasters, war, terrorism, labor disruption, government action, internet or infrastructure outages.
- Headings. Headings are for convenience only and do not affect interpretation.
